Terms of Service - iTishniki LLC
Welcome to iTishniki LLC. By engaging our services, you agree to the following terms and conditions. These terms are designed to ensure clear communication, outline project expectations, and protect both parties throughout our working relationship.
1. Services Provided
iTishniki LLC provides a range of digital services, including but not limited to: website development and maintenance, graphic design, Search Engine Optimization (SEO), Local SEO, email marketing, Google Ads management, social media marketing, and Quality Assurance (QA). The specific scope of your project will be outlined in your individual estimate or proposal.
2. Financial Terms & Fees
Deposits: A 25% upfront deposit is required to secure your project in our schedule and begin work. The remaining balance will be invoiced upon project completion.
Refunds & Cancellations: We only bill for work that has been completed. If a project is cancelled mid-way through, you will only be billed for the hours or milestones completed up to the date of cancellation. Work that was not started or completed will not be billed.
Credit Card Surcharge: Please note that a 2% surcharge applies to all credit card payments to cover processing fees. Alternative payment methods are available upon request without this surcharge.
Late Fees: Invoices are due upon receipt unless otherwise specified. We understand that occasional administrative delays happen, so we provide a 5-day grace period. If an invoice remains unpaid after this grace period, a late fee of 2% per month will be applied to the outstanding balance until it is paid in full.
3. Client Responsibilities & Content Creation
Content Provision: Clients are expected to provide their own text, images, and branding assets to keep the project on schedule.
AI Content Generation: If you do not have your own text or images ready, iTishniki LLC will utilize advanced AI tools to generate suitable, high-quality content and imagery to ensure the project moves forward seamlessly.
Project Dormancy & Unresponsiveness: Timely communication is vital to keeping your project on schedule. We understand that vacations and emergencies happen! If you anticipate being unavailable, simply let us know ahead of time and we will gladly pause the project without penalty. However, if a client fails to respond to our questions, requests for assets, or feedback for 5 consecutive days without prior notice, the project will be considered dormant and placed on hold. At that time, we will issue an invoice for the remaining balance of the project, which will be due within 30 days.
4. Ownership & Intellectual Property
Transfer of Ownership: iTishniki LLC retains full ownership of all custom code, design assets, and intellectual property created for the project until the final invoice is paid in full. Upon receipt of final payment, full ownership of the website and its assets transfers to the client.
Portfolio Rights: We take pride in our work. iTishniki LLC reserves the right to showcase the completed project in our professional portfolio and marketing materials. We also reserve the right to place a discreet “Website by iTishniki” link in the footer of the completed website.
5. Warranties, Support, & Third-Party Liability
Unlimited Bug Fixing: We stand by the quality of our code. iTishniki LLC offers an unlimited timeframe for fixing inherent bugs or errors in the code we originally delivered.
Post-Launch Work: Any new features, design changes, or general updates requested after the project has officially launched are not considered bug fixes and will be billed at our standard agreed-upon hourly rate.
Third-Party Liability: Once the website is handed over, iTishniki LLC is not liable for issues caused by third-party software, plugin updates, server downtime, or security breaches/hacks, unless you are actively enrolled in an ongoing hosting and maintenance plan with us.
6. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Washington.
